Terms of service.

1. INTRODUCTION

These Terms and Conditions ("Agreement") govern the relationship between The Honeybee Group ("Honeybee," "we," "us," or "our") and coaching professionals ("Member," "you," or "your") who utilize our administrative and community services. This Agreement is legally binding and constitutes the entire agreement between Honeybee and the Member.

2. SERVICES

2.1. Honeybee provides the following services:

  • Client scheduling and management

  • Invoicing and payment processing

  • Website development and maintenance

  • Marketing and SEO services

  • Client support and communication

  • Access to professional coaching community

  • Administrative support services

  • Coaching Support by a qualified coach

2.2. Service Level Standards:

  • Response time to general inquiries: within 24 business hours

  • Critical issue response time: within 4 business hours

    • Submit critical issues via email or slack titled URGENT

3. NON-COMPETE AGREEMENT

3.1. During your membership with Honeybee, you agree not to:

  • Establish, operate, or participate in any competing business that provides administrative services to coaches

  • Solicit or attempt to solicit Honeybee's employees, contractors, or other Members for competing business purposes

  • Encourage any client, supplier, or partner of Honeybee to terminate their relationship with Honeybee

3.2. Geographic Scope:

  • This non-compete applies to any jurisdiction where Honeybee operates or has marketed its services within the 12 months prior to termination

3.3. This non-compete clause is limited to the duration of your membership and terminates immediately upon the end of your membership with Honeybee.

4. CONFIDENTIALITY

4.1. Confidential Information includes, but is not limited to:

  • Client identifying data and information. Ex: full name or location

  • Business strategies and methods

  • Pricing and financial information

  • Technical processes and systems

  • Member community information

  • Marketing strategies and plans

  • Proprietary software and tools

  • Training materials and methodologies

  • Internal communications and discussions

  • Development plans and future services

4.2. You agree to:

  • Maintain the strictest levels of confidentiality with all parties as agreed upon. I am aware of and agree to comply with all applicable laws that pertain to personal data and communications

  • Use Confidential Information solely for the purpose of providing services through Honeybee

  • Not disclose Confidential Information to any third party without written consent of Honeybee.

  • Honeybee destroying all Confidential Information upon membership termination

  • Implement reasonable security measures to protect Confidential Information

  • Maintain, store and dispose of any records, including electronic files and communications, created during my professional interactions in a manner that promotes confidentiality, security and privacy and complies with any applicable laws and agreements. Furthermore, I seek to make proper use of emerging and growing technological developments that are being used in coaching services (technology-assisted coaching services) and be aware how various ethical standards apply to them.

  • Report any unauthorized disclosure or suspected breach immediately to Honeybee

4.3. These confidentiality obligations survive the termination of membership for a period of five (5) years.

5. MEMBERSHIP AND PAYMENT

5.1. Membership Terms:

  • Upon the start of membership, you will transfer your client list in its entirety to Honeybee

  • Pricing for sessions is set by Honeybee

    • Discounts offered to clients must be agreed upon by both the coach and The Honeybee Group prior to scheduling

  • Membership is on a recurring basis until cancelled

  • Initial term commitment: 12 months

  • Payment schedule: payment schedules are available in monthly or annual payments. 

    • Alternate payment schedules are offered exclusively at the discretion of The Honeybee Group.

  • Payment methods accepted:

    • Visa/Mastercard/American Express/Discover

    • Apple Pay

    • Klarna

    • Link

    • Cash App

    • Amazon Pay

5.2. Cancellation:

  • Members may cancel their membership at any time without cancellation fees

  • Written notice required before intended cancellation date

    • We strongly recommend a 2 weeks notice for cancellation to allow for proper off-boarding of the coach and their clients.

5.3. Refund Policy:

  • Refunds will not be provided for services rendered prior to a member’s cancellation notice

  • Monthly memberships are not eligible for a refund

  • Pro-rata refunds will be considered for any prepaid memberships

  • Approved refunds will be processed within 30 business days

  • Processing fees are non-refundable

6. TERMINATION

6.1. Either party may terminate this Agreement with a 30 day written notice.

6.2. Immediate termination may occur for:

  • Any breach of the Code of Ethics

  • Violation of confidentiality

  • Payment delinquency at the discretion of Honeybee

  • Violation of non-compete clause

6.3. Upon termination:

  • All access to Honeybee services will cease

  • Outstanding payments must be settled

  • Non-compete clause expires

  • Confidentiality obligations continue

7. LIMITATION OF LIABILITY

7.1. Honeybee shall not be liable for any indirect, incidental, special, or consequential damages.

7.2. Our total liability shall not exceed the amount paid by Member in the twelve months preceding the claim.

7.3. Force Majeure:

  • Neither party shall be liable for failures or delays resulting from circumstances beyond reasonable control

8. INTELLECTUAL PROPERTY

8.1. Ownership:

  • Honeybee retains all rights to its intellectual property

  • Members retain rights to their original content

  • Joint developments will be governed by separate agreements

8.2. License:

  • Members receive a limited, non-transferable license to use Honeybee's systems

  • License terminates upon membership termination

9. DISPUTE RESOLUTION

9.1. Mediation:

  • Parties agree to attempt mediation before litigation

  • Mediation costs to be shared equally

9.2. Arbitration:

  • If mediation fails, disputes will be resolved through binding arbitration

  • Arbitration to be conducted in Fayette County, GA

  • Arbitration costs to be borne by losing party

10. MODIFICATIONS

10.1. Honeybee reserves the right to modify these Terms and Conditions.

10.2. Members will be notified of changes and will be required to sign the updated agreement within 30 days.

10.2a. Failure to sign the updated agreement will result in deactivation of scheduling services until such time as the agreement is signed

10.3. Continued use of services after modification constitutes acceptance.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Fayette County, GA without regard to its conflict of law provisions.

12. SEVERABILITY

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

13. ACCEPTANCE

By using Honeybee's services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
